1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the websites, applications, products, and services (collectively, the "Services") provided by Juniper Consulting LLC, doing business as Juniper Reading CoLab ("Juniper Reading CoLab," "we," "us," or "our"), including but not limited to Navigate, Decode, Close Read, Coach, and any other current or future products accessible through juniperreadingcolab.com and its subdomains.

By creating an account, accessing, or using any part of the Services, you agree to be bound by these Terms, our Privacy Policy, and any additional terms referenced herein. If you are agreeing to these Terms on behalf of a school, district, or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not access or use the Services.

2. Definitions

"Content" means all text, audio, images, instructional sequences, lesson scripts, word lists, scope and sequence materials, routing logic, assessment crosswalk data, and any other materials made available through the Services.

"User" means any individual who accesses or uses the Services, including Teachers, Students, and Administrators.

"Teacher" means an individual who creates an account to use the Services in an instructional capacity.

"Student" means an individual who accesses the Services using a class code and first name or initials provided by a Teacher, for the purpose of receiving instruction.

"Student Data" means any information related to a Student that is collected or generated through the Services, including but not limited to first names, initials, access codes, assessment results, lesson progress, and mastery indicators.

"Routing Logic" means the proprietary algorithms, crosswalk mapping tables, assessment-to-instruction placement rules, mastery threshold calibrations, and related methodologies used by Navigate to generate personalized instructional placements based on assessment data.

"Instructional Architecture" means the proprietary scope and sequence design, unit structures, lesson progression models, grapheme-phoneme correspondence coverage frameworks, and gradual release instructional protocols embedded within Decode and related products.

"Decode Content" means all proprietary instructional materials within the Decode product, including but not limited to lesson scripts, teaching notes, word lists, decodable sentences, audio narration files, text-to-speech scripts, instructional screen sequences, phase structures (including the I Do, We Do, and You Do instructional phases), unit progression logic, mastery check items, grapheme-phoneme correspondence tables, syllable-type instructional sequences, and any visual, textual, or audio assets presented to Teachers or Students during Decode lessons.

"Screener Content" means the proprietary assessment items, word and nonword stimuli, answer option sets, item sequencing, branching logic, gate decision thresholds, and scoring rubrics used within the Navigate diagnostic screener to determine student placement levels.

3. Account Registration and Security

3.1 Teacher Accounts

To use the Services as a Teacher, you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3.2 Student Access

Students access the Services using a class code and their first name or initials. No email address, full name, date of birth, or other personally identifiable information is required from Students. Teachers are responsible for providing Student access codes only to authorized Students.

3.3 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information as necessary. We reserve the right to suspend or terminate accounts that contain materially inaccurate or fraudulent information.

4. Authorized Use of the Services

The Services are designed for use by educators and students in instructional settings. You may use the Services only for their intended educational purposes and in compliance with these Terms.

4.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal educational purposes. This license does not include the right to sublicense, resell, distribute, or make the Services available to any third party except as expressly authorized.

4.2 Teacher Authorization

If you are a Teacher using the Services in a school or district setting, you represent and warrant that you have obtained all necessary authorizations from your school, district, or institution to use the Services with Students, including any required consent or approval under applicable student privacy laws.

5. Intellectual Property and Proprietary Rights

5.1 Ownership

All right, title, and interest in and to the Services, including but not limited to the Routing Logic, Instructional Architecture, Content, software, code, databases, user interface designs, audio recordings, visual assets, and all related intellectual property rights, are and shall remain the exclusive property of Juniper Consulting LLC. These Terms do not grant you any ownership interest in or to the Services, Content, or any intellectual property of Juniper Reading CoLab.

5.2 Trade Secrets

You acknowledge that the Routing Logic, Instructional Architecture, Decode Content, and Screener Content constitute trade secrets of Juniper Consulting LLC.

The specific methods by which Navigate maps assessment data to instructional placements, the crosswalk tables connecting standardized assessment instruments to our proprietary scope and sequence, and the mastery threshold calibrations used to determine student progression are confidential and proprietary.

The specific assessment items used within the Navigate diagnostic screener, including the selection of real words and nonwords, the construction of answer option sets, the sequencing and branching logic that determines which items a student encounters, the gate decision thresholds that determine placement boundaries, and the psychometric design principles underlying item selection, are confidential and proprietary.

Additionally, the specific design of Decode lessons, including the sequencing of instructional phases within each unit, the selection and ordering of word lists, the structure and content of teaching scripts and audio narration, the grapheme-phoneme correspondence coverage model, the criteria governing student progression between units and levels, and the pedagogical logic connecting diagnostic placements to specific lesson entry points, are confidential and proprietary.

You agree not to disclose, publish, or otherwise make available any information regarding these systems that you learn through your use of the Services.

6. Prohibited Conduct

You agree that you will not, and will not permit or enable any third party to, engage in any of the following:

6.1 Reverse Engineering and Decompilation

You shall not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, data structures, or underlying ideas or methodologies of any part of the Services, including but not limited to: the Routing Logic, assessment crosswalk mappings, instructional placement algorithms, and mastery threshold calculations within Navigate; the screener item selection, sequencing, branching logic, and gate decision thresholds within the Navigate diagnostic screener; the lesson phase structures, unit progression logic, word list selection methodology, grapheme-phoneme correspondence coverage model, teaching script design, audio narration sequencing, and mastery check criteria within Decode; or the scope and sequence architecture connecting Navigate placements to Decode lesson entry points.

6.2 Scraping, Crawling, and Automated Data Collection

You shall not use any robot, spider, crawler, scraper, or other automated means to access, collect, copy, monitor, index, or extract data from the Services, including but not limited to lesson content, word lists, instructional scripts, audio files, assessment items, screener items, routing outputs, or any other Content. This prohibition applies regardless of whether such activity is conducted for commercial purposes, research, competitive analysis, machine learning or artificial intelligence model training, or any other purpose.

6.3 Systematic Extraction and Reproduction

You shall not systematically download, copy, record, transcribe, photograph, screen-capture, or otherwise extract or reproduce the Content in any form, whether manually or through automated means. This prohibition applies with particular force to Decode Content and Screener Content: you shall not record, transcribe, or reconstruct Decode lesson scripts, teaching notes, word lists, decodable sentences, audio narration, or instructional screen sequences; you shall not record, catalog, or reconstruct screener items, answer options, or branching sequences. You shall not compile, catalog, or reconstruct the scope and sequence by navigating through units and levels and documenting their contents. Incidental use of screenshots for legitimate instructional communication (such as sharing a lesson screen with a colleague to discuss student progress) is permitted; systematic collection is not. The distinction is intent and scale: capturing a screen to discuss a specific student question is permitted; capturing screens across units to reconstruct the instructional sequence, word lists, or lesson design is prohibited.

6.4 Lesson and Curriculum Reconstruction

You shall not use information obtained through the Services to reconstruct, replicate, or create derivative works based on the Decode lesson structure or Navigate screener design, including but not limited to: recreating the I Do, We Do, or You Do instructional phases or their sequencing; compiling word lists or decodable sentences from multiple units or levels; reproducing the grapheme-phoneme correspondence progression across levels; recreating teaching scripts or narration content; reconstructing screener item banks, answer option sets, or branching sequences; or assembling any document, database, spreadsheet, or digital resource that reproduces or substantially replicates the instructional design, content, sequencing, or assessment methodology of the Services. This prohibition applies regardless of the format of the derivative work and regardless of whether the reconstruction is partial or complete.

6.5 Competitive Use and Intelligence Gathering

You shall not access or use the Services for the purpose of building, improving, training, or informing a competing product or service. This includes but is not limited to creating an account to study, benchmark, evaluate, or analyze the Services, the Routing Logic, the Instructional Architecture, the Screener Content, or any Content for competitive purposes. You shall not use information obtained through the Services to develop, directly or indirectly, any product, service, or offering that is substantially similar to or competitive with any aspect of the Services.

6.6 AI and Machine Learning Training

You shall not use any Content, Decode Content, Screener Content, data, or outputs from the Services to train, fine-tune, evaluate, validate, or otherwise develop any artificial intelligence model, machine learning system, large language model, or similar technology, whether for commercial or non-commercial purposes. This prohibition applies to all forms of Content including text, audio, instructional sequences, lesson scripts, word lists, teaching notes, assessment items, screener items, and routing outputs.

6.7 Unauthorized Distribution and Sharing

You shall not redistribute, republish, publicly display, publicly perform, sublicense, sell, lease, or otherwise make available any Content to any third party, except as expressly authorized by these Terms. You shall not share your account credentials with any person or entity, and you shall not share Student access codes with individuals who are not authorized Students in your class or instructional group.

6.8 Circumvention

You shall not circumvent, disable, or otherwise interfere with any security, access control, digital rights management, rate limiting, or usage monitoring features of the Services. You shall not attempt to access any portion of the Services, Content, or systems that you are not authorized to access.

6.9 Misrepresentation

You shall not misrepresent your identity, affiliation, or purpose when creating an account or using the Services. You shall not create an account under false pretenses, including but not limited to creating a Teacher account when you are not an educator or do not intend to use the Services for legitimate instructional purposes.

7. Payment Terms

7.1 Free and Paid Services

Navigate, including the diagnostic screener and full scope and sequence, is available at no cost and does not require a paid subscription. Navigate will remain free. Decode, Close Read, Fluency, Coach, and any future paid products require a subscription or active free trial to access. Pricing, features included in each product, and available subscription plans are described on our website and may be updated from time to time.

7.2 Free Trial

Decode and other paid products offer a 14-day free trial. The free trial provides full access to all features and content within the product for the duration of the trial period. No credit card or payment information is required to start a free trial. We will never charge you automatically at the end of a trial. When your trial ends, your access to new lessons will be paused, but your existing student data, progress, and mastery records will remain visible and preserved until July 31st of the current school year (the school year runs August 1 through July 31), or 90 days after your trial ends, whichever is later. After that date, if you have not subscribed, your student data will be automatically deleted. You will receive an email notification 30 days before deletion. To continue using the product after your trial ends, you must actively choose to subscribe.

7.3 Founding Member Program

The first 100 Teachers who subscribe to a paid individual plan for any product are designated as "Founding Members." Founding Members receive a 20% discount on all individual subscription products offered by Juniper Reading CoLab. This discount applies automatically at checkout for any product and remains in effect permanently. Once a Founding Member, always a Founding Member — this status is not forfeited upon cancellation, lapse, or any change in subscription status. A Founding Member who cancels and later re-subscribes to any product will receive the Founding Member discount at re-subscription. Founding Member pricing applies only to individual subscriptions and does not apply to school or district licenses. Founding Member status is tied to the individual, not to a specific email address or account. If you change schools or need to update your account, contact us at hello@juniperreadingcolab.com to transfer your Founding Member status.

7.4 Billing

Paid subscriptions are billed through Stripe on a recurring basis (monthly or annually, depending on the plan selected). By subscribing, you authorize us to charge your designated payment method at the applicable rate on a recurring basis until you cancel. You are responsible for keeping your payment information current.

7.5 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at hello@juniperreadingcolab.com. Cancellation takes effect at the end of the current billing period. You will retain full access to the product until the end of the period you have already paid for. After your billing period ends, your access to new lessons will be paused, but your student data, progress, and mastery records will remain visible and preserved until July 31st of the current school year (the school year runs August 1 through July 31), or 90 days after your subscription ends, whichever is later. After that date, your student data will be automatically deleted. You will receive an email notification 30 days before deletion. You may re-subscribe at any time to resume access; if you re-subscribe before your data is deleted, your student records will be fully restored.

7.6 Refunds

For monthly subscriptions, we do not provide refunds for partial billing periods. For annual subscriptions, you may request a prorated refund within the first 30 days of your annual subscription term. Refund requests received after 30 days from the start of the annual term will not be honored, though cancellation will still take effect at the end of the annual period. 7.7 Price Changes

We reserve the right to change our pricing at any time. We will provide at least 30 days’ notice of any price increase to active subscribers. Existing subscribers will remain at their current price until the end of their current billing period following the notice. Continued use of paid Services after a price change takes effect constitutes acceptance of the new pricing. Founding Member pricing is permanent and is not subject to price increases.

7.8 School and District Licenses

Pricing and terms for school and district licenses are established through separate agreements. School and district licenses include access to all products. Contact us at hello@juniperreadingcolab.com for institutional pricing inquiries.

8. Student Data and Privacy

8.1 Minimal Data Collection

The Services are designed to collect the minimum amount of Student information necessary to provide instructional functionality. Student accounts require only a first name or initials and a class code. We do not collect Student email addresses, full names, dates of birth, home addresses, Social Security numbers, or any other personally identifiable information beyond what is described in our Privacy Policy.

8.2 FERPA Compliance

We are committed to compliance with the Family Educational Rights and Privacy Act (FERPA). To the extent that any Student Data constitutes an "education record" under FERPA, we act as a "school official" with a "legitimate educational interest" under the school or district’s direct control, as described in 34 CFR 99.31(a)(1). We use Student Data solely to provide and improve the Services and do not use Student Data for any advertising, marketing, or other commercial purpose unrelated to the Services.

8.3 COPPA Compliance

Because the Services do not collect personal information directly from Students under 13 (Student accounts use only first names or initials and class codes assigned by Teachers), the Services are designed to operate within COPPA requirements. Teachers and schools are responsible for obtaining any required parental consent before enrolling Students under 13.

8.4 No Sale of Student Data

We do not sell, rent, lease, trade, or otherwise provide Student Data to any third party for any purpose. We do not use Student Data for targeted advertising. We do not permit third-party advertising within the Services.

8.5 Data Storage and Security

Student Data is stored in Supabase (US-East region) with SOC 2 Type II compliance. Row Level Security (RLS) is enabled on all database tables containing Student Data. We employ commercially reasonable technical and organizational measures to protect Student Data against unauthorized access, alteration, disclosure, or destruction.

8.6 Data Retention and Deletion

Student Data retention depends on account status. For active subscriptions, Student Data is preserved for the duration of the subscription. For expired trials or cancelled subscriptions, Student Data is preserved until July 31st of the current school year (the school year runs August 1 through July 31), or 90 days after the trial expires or subscription ends, whichever is later. After that date, Student Data will be automatically deleted. Teachers will receive an email notification 30 days before automatic deletion. Teachers may delete individual Student records at any time through the Services. Upon request from a school, district, or authorized Teacher, we will delete all associated Student Data within 30 days. Upon termination of a school or district agreement, all associated Student Data will be deleted within 60 days unless a longer retention period is required by law or requested in writing by the school or district.

8.7 Data Processing Agreements

Schools and districts that require a Data Processing Agreement (DPA) may request one by contacting us. We will execute DPAs that are consistent with applicable federal and state student privacy laws. For individual Teacher accounts, by accepting these Terms, you acknowledge that you have the authority to create Student records within the Services and that you have obtained any necessary consent or authorization from your school, district, or the Students’ parents or guardians.

9. Audio Content

The Services incorporate audio content, including pre-generated narration and instructional audio. Audio content embedded in the Services is pre-generated and stored as static files. No Student Data is transmitted to any third-party audio provider during lesson playback. All audio scripts use generic instructional language and do not contain any Student names, identifiers, or personally identifiable information. Audio files embedded in the Services are proprietary Content subject to the intellectual property protections described in Section 5.

10. Disclaimers

10.1 Educational Purpose

The Services are designed as supplemental instructional tools and are not intended to replace classroom instruction, special education services, individualized education programs (IEPs), or professional educational assessment. Placement recommendations generated by Navigate are based on the assessment data entered by Teachers and should be reviewed and adjusted by qualified educators based on their professional judgment and knowledge of individual Students.

10.2 No Guarantee of Outcomes

We do not guarantee specific academic outcomes, test score improvements, or reading level gains for any Student. Educational outcomes depend on numerous factors beyond the scope of the Services, including but not limited to instructional implementation, student engagement, attendance, and prior knowledge. We will never make claims about student outcomes that are not supported by independently verified evidence.

10.3 As-Is Provision

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JUNIPER CONSULTING LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Juniper Consulting LLC, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services in violation of these Terms; (b) your violation of any applicable law, regulation, or third-party right; (c) any Student Data you input into the Services without proper authorization; or (d) any dispute between you and a Student, parent, school, or district related to your use of the Services.

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us or through your account settings. Upon termination, your right to use the Services will cease immediately.

13.2 Termination by Us

We may suspend or terminate your access to the Services, in whole or in part, at any time and for any reason, including but not limited to violation of these Terms, suspected fraudulent or abusive activity, non-payment, or conduct that we reasonably believe is harmful to other Users, Students, or the integrity of the Services. We will make reasonable efforts to notify you prior to termination, except where immediate action is required to protect the Services or other Users.

13.3 Effect of Termination

Upon termination: (a) all licenses granted to you under these Terms will immediately terminate; (b) you must cease all use of the Services; (c) you must destroy or delete any Content you have downloaded or otherwise obtained from the Services, except as permitted under Section 6.3 or as required by law; and (d) we will handle Student Data in accordance with Section 8.6 and any applicable DPA.

13.4 Survival

Sections 5 (Intellectual Property), 6 (Prohibited Conduct), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), and 15 (Governing Law) shall survive any termination or expiration of these Terms.

14. Enforcement and Remedies

14.1 Injunctive Relief

You acknowledge that any violation of Sections 5 or 6 of these Terms may cause irreparable harm to Juniper Consulting LLC for which monetary damages would be an inadequate remedy. Accordingly, you agree that Juniper Consulting LLC shall be entitled to seek injunctive or other equitable relief in addition to any other remedies available at law or in equity, without the necessity of proving actual damages or posting a bond.

14.2 Monitoring

We reserve the right to monitor use of the Services for compliance with these Terms, including but not limited to monitoring for patterns of access consistent with scraping, systematic extraction, competitive analysis, or other prohibited conduct. We may use technical measures, including rate limiting, access pattern analysis, and anomaly detection, to identify and prevent violations.

14.3 Reporting Violations

If you become aware of any violation of these Terms by another User, please contact us promptly at hello@juniperreadingcolab.com.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Clark County, Washington, and you consent to the personal jurisdiction and venue of such courts.

16. Modifications to These Terms

We reserve the right to modify these Terms at any time. We will notify registered Users of material changes by email or through a notice posted within the Services at least 30 days before the changes take effect. Your continued use of the Services after the effective date of any modifications constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services and terminate your account.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any DPA or institutional agreement, constitute the entire agreement between you and Juniper Consulting LLC regarding the Services and supersede all prior agreements, understandings, and communications, whether written or oral.

17.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

17.3 No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. No waiver shall be effective unless made in writing and signed by an authorized representative of Juniper Consulting LLC.

17.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets, provided that the assignee agrees to be bound by these Terms.

17.5 Notices

Notices to you may be sent to the email address associated with your account. Notices to us should be sent to hello@juniperreadingcolab.com.

17.6 Independent Contractors

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Juniper Consulting LLC.

17.7 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms to the extent such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, labor disputes, government actions, or failures of third-party service providers.
